NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.

1. Sweepstakes Period: These Official Rules apply to the Outback Steakhouse Mate Day ReplaceMates Sweepstakes (“Sweepstakes”). The Sweepstakes begins at 12:00:01 a.m. ET on April 22, 2024 and ends at 11:59:59 a.m. ET on April 25, 2024 (“Sweepstakes Period”).

2. Eligibility: The Sweepstakes is open only to legal residents of the United States who are twenty-one (21) years of age or older at the time of entry. Not open to employees and their families (spouses, parents, children/siblings and their respective spouses, and those living in the same household) of Outback Steakhouse of Florida, LLC (“Sponsor”), their subsidiaries, affiliates, agents, franchisees, retailers, promotion partners, advertising and production agencies, and PROMOSIS, INC. (“Administrator”). Participation constitutes entrant’s full and unconditional agreement to these Official Rules. Winning a prize is contingent upon fulfilling all requirements set forth herein. Sponsor reserves the right to verify the eligibility of winners.

3. To Enter: Follow Outback Steakhouse on social media and comment on a Mate Day ReplaceMates promotion post, tagging your “flakiest friend”, any time during the Sweepstakes Period. Entrants are required to have an Instagram, Facebook, X (formerly Twitter), or TikTok account, available for free sign up at instagram.com, facebook.com, twitter.com, and tiktok.com. Entrant’s social media account must be set to “public” in order for the entry to be eligible; account can be returned to “private” any time after winners have been determined. Limit one (1) entry per person/social media account. Multiple entries from any person or account will be disqualified. Entries must be complete to be eligible. Entries must comply with all terms and community guidelines associated with the applicable social media platform. Social media comments/entries may not include any content that may be deemed obscene, violent, or offensive, infringe on the privacy of any person other than an entrant, or communicate messages or images inconsistent with the positive image and good will of the Outback Steakhouse brand. Any entries that contain, depict, or show such ineligible content as defined above and/or that violate these requirements and/or the terms of these Official Rules will be disqualified. The Sponsor reserves the right in its sole and unfettered discretion to disqualify any entry that they believe is inappropriate or not suitable for publication, that does not comply with these Official Rules, or that is not consistent with the spirit or theme of the Sweepstakes. Sponsor and its promotion partners reserve the right to publish any submitted entries, in full or in part, in any and all media. Publication of an entry is not intended to indicate that the entry has been selected as a prize winner or is favored in any way. All entries become the property of the Sponsor and will not be acknowledged. By submitting an entry, entrant explicitly acknowledges and agrees that the Sponsor and its promotion partners, legal representatives, successors and assigns shall have the irrevocable, worldwide right in perpetuity to license, sub-license, edit, alter, post, reproduce, publicly display and publish, in any media, including online, any or all material which you post to Instagram, Facebook, X, or TikTok in connection with this Sweepstakes, without any additional consideration or approvals from or to entrant. In the event of a dispute regarding the identity of any entrant, the entry will be deemed made by the person identified as the authorized account holder of the social media platform handle associated with the entry. All online entries must be submitted and received by the deadline of the Sweepstakes Period, as defined above. Sweepstakes is void where prohibited, and is subject to all applicable laws and regulations. Participants consent to the use of their entries in accordance with the Sponsor’s privacy policy. All federal, state, and local laws and regulations apply. Entrants agree to the release of their name, address, and email information to Sponsor and Administrator for winner notification purposes and for public winner disclosure, as required by law.

4. Drawings and Winner Notification: Potential winners will be selected via random drawings from among all eligible entries received by the deadline. Drawings will be conducted on or around April 25, 2024 by PROMOSIS, Inc., whose decisions will be final and binding in all matters relating to this Sweepstakes. Potential winners will be notified via social media direct message from Sponsor, and will be required to complete an online winner verification within twenty-four (24) hours of the time and date of the notification, or prize will be forfeited. Potential Grand Prize winner will be required to upload a “selfie” photo and image of a government-issued photo ID, as part of the online verification. Entrant’s social media account must be set to receive direct messages from anyone in order to be notified. Any potential winner who fails to complete the winner verification or is found to be ineligible will be disqualified, and an alternate winner will be randomly selected from the remaining pool of participants received for the original drawing. A selected potential winner will not be an official winner until eligibility has been formally verified by Administrator. Sponsor is not responsible for fraudulent communications made to entrants or potential winners. Odds of winning a prize are dependent upon the number of eligible entries received.

5. Prizes: One (1) Grand Prize: winner’s choice of dinner with a “ReplaceMate” at an Outback Steakhouse or a $500 Outback Steakhouse e-gift card. Approximate retail value of ReplaceMate dinner Grand Prize = $1,500; approximate retail value of e-gift card Grand Prize = $500. Actual value of ReplaceMate dinner prize, if chosen, may vary based on timing of dinner, location of Outback Steakhouse, and assessment of prize elements publicly available. Difference between actual value and stated value, if any, will not be awarded in cash or other consideration.

Ten (10) First Prizes: a $100 Outback Steakhouse e-gift card. Approximate retail value of each First Prize = $100.

Twenty (20) Second Prizes: a $50 Outback Steakhouse e-gift card. Approximate retail value of each Second Prize = $50.

Total Approximate Retail Value of all prizes = $2,500.

Potential Grand Prize dinner elements, including Outback Steakhouse location and winner’s dinner ReplaceMate will be chosen by Sponsor. Grand Prize winner is responsible for personal travel to and from the specified Outback location. Grand Prize dinner will be scheduled for May 8, 2024, subject to change at Sponsor’s discretion. Grand Prize winner must be available on the date specified, or prize and its value will be forfeited. Grand Prize winner (if winner chooses the ReplaceMate dinner) will be required to provide their Social Security number, to be issued an IRS 1099-MISC tax form for the retail value of the prize won.

Sponsor will not be responsible for replacement of any lost or stolen gift cards once they are in winner's possession. Winners are solely responsible for all applicable taxes on the value of the prize won. Prizes may not be transferred, assigned, or redeemed for cash, in whole or in part. No substitution for prizes or parts thereof, except by Sponsor as may be necessary due to unavailability. If originally-offered prize or prize element is unavailable at the time of award, Sponsor may substitute an item of comparable or additional value. Limit one (1) prize per person. No more than the stated number of prizes will be awarded. By accepting a prize, winner agrees to grant to the Sponsor and its promotion partners the right without limitation to use the winner’s name, picture, portrait or likeness, and voice in any future promotional material in any and all media, now known or hereafter devised, without further compensation, where permitted, and that such use can be made without prior inspection or approval of the use of any copy used in connection with it.

6. Limitation of Liability: Sponsor and its promotion partners and affiliates are not responsible for typographical errors in any Sweepstakes-related materials; for lost, late, misdirected, or incomplete entries or email; for technical, hardware, software, Internet, or telephone failures of any kind; for lost or unavailable network connections; for viruses; for failed, incomplete, garbled, or delayed computer transmissions that may limit or interfere with a participant’s ability to take part in the Sweepstakes; or for non-delivery of any prize due to factors beyond Sponsor’s control, including lost, late, or misdirected deliveries or any delay or suspension of service that may affect prize delivery. Entries generated by script, macro, or other automated entry devices are not valid and will be disqualified. Sponsor reserves the right to disqualify and seek prosecution of any entrant who disrupts or interferes with the proper play of the Sweepstakes, or acts in violation of these Official Rules in any way. Sponsor reserves the right to cancel or modify Sweepstakes if fraud or technical failure compromises the integrity of the Sweepstakes, or corrupts or impairs the administration, security, fairness, or proper play of the Sweepstakes, as determined by Sponsor in its sole discretion. If Sweepstakes is canceled for any reason, including but not limited to those stated above, winners will be determined via random drawings from among all eligible entries received up to the time of cancellation, and the potential maximum number of prizes offered will be awarded. Sponsor and its promotion partners, related companies, agencies, and their respective employees or officers shall not be liable for injury, losses, damages, or costs of any kind resulting from participation in this Sweepstakes, or acceptance of or use or misuse of a prize or parts thereof. This promotion is in no way sponsored, endorsed, or administered by Instagram, Facebook, X, or TikTok, nor are these entities responsible for prize awards. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

7. Dispute Resolution: Except where prohibited, Entrant agrees that whenever Entrant has a disagreement with Sponsor arising out of, connected to, or in any way related to these Official Rules and/or the Promotion, Entrant will send a written notice to Sponsor (“Demand”). Entrant will not take any legal action, including filing a lawsuit or demanding arbitration, until ten (10) business days after Entrant sends this Demand. If Sponsor does not resolve this disagreement to Entrant’s satisfaction within ten (10) business days, and Entrant intends on taking legal action, Entrant agrees that Entrant will file a demand for arbitration with the American Arbitration Association (the “AAA”). Entrant will not file a class action or collective action against Sponsor, and Entrant will not participate in a class action or collective action against Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules (whether of the State of Florida or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Florida.

8. Winners List: For the names of the winners, available until July 25, 2024, send a standard-size postcard, only, with your name and address to: Outback Steakhouse ReplaceMates Sweepstakes Winners List, P.O. Box 38, Marblehead, MA 01945. Do not send any other correspondence to this address.

9. Entrant's Personal Information: Any personal information received by Sponsor in connection with the Promotion is subject to the Sponsor’s Privacy Policy, which can be reviewed at https://www.outback.com/privacy-rights/privacy-policy.
